Terms of Service

1. General

These terms apply to the use of the services and software of Adbrains B.V., based in Rotterdam, the Netherlands. By using our services you agree to these terms.

2. Services

AdBrains is a platform for automating and optimising advertising campaigns managed by certified experts, including Google Ads, Meta Ads, TikTok Ads and LinkedIn Ads. Our services include:

  • Campaign management and optimisation via the AdBrains dashboard.
  • Conversion Tracking plugins for WordPress, Shopify, Magento and other platforms.
  • Automated reporting and AI-powered recommendations.
  • Keyword mining, bid management and ad copy optimisation.

3. Account and access

To use our services you need to create an account and connect your advertising accounts via secure API connections (OAuth2 or API tokens). This applies to Google Ads, Meta Ads, TikTok Ads and LinkedIn Ads. You are responsible for keeping your login credentials confidential and for all activities under your account.

Through the connections we gain access to your campaign data to deliver our services. You can revoke this access at any time through the settings of the respective platform.

4. Use of platform APIs

Our use of platform data is subject to the terms and policies of each platform:

We use data from each platform solely to deliver the functionality you have requested and not for any other purposes.

5. Conversion Tracking plugins

Our Conversion Tracking plugins (for WordPress, Shopify, Magento and other platforms) send conversion data directly to the APIs of the connected advertising platforms (Google Ads, Meta Ads, TikTok Ads, LinkedIn Ads). By installing and configuring the plugin you consent to the processing of order data (order number, amount, hashed email addresses) for the purpose of conversion tracking.

The plugins place first-party cookies to store Google Ads click identifiers. You are responsible for informing your website visitors about the use of cookies in accordance with applicable legislation.

6. User obligations

  • You use our services in accordance with applicable laws and regulations.
  • You ensure that you are authorised to connect your Google Ads account and share data.
  • You are responsible for the accuracy of the information you provide to us.
  • You do not use our services for unlawful, misleading or fraudulent purposes.

7. Availability

We strive for high availability of our services but cannot guarantee 100% uptime. We are not liable for damages resulting from temporary unavailability, maintenance or disruptions at third parties (including Google).

8. Liability

Our services are provided “as is”. We make every effort to deliver accurate and reliable results, but are not liable for direct or indirect damages resulting from the use of our services, including but not limited to missed conversions, incorrect campaign changes or loss of data.

Our total liability is limited to the amount you have paid to us in the 12 months preceding the damage.

9. Intellectual property

All rights to the AdBrains software, dashboard, plugins and associated documentation belong to Adbrains B.V. You receive a non-exclusive, non-transferable right of use for the duration of your subscription.

10. Termination

You may cancel your account at any time. We may terminate the service in case of violation of these terms, after prior notification where reasonably possible. Upon termination, your data will be deleted within 90 days.

11. Changes

We may update these terms from time to time. Changes will be communicated via our website or by email. Continued use after a change constitutes acceptance.

12. Governing law

These terms are governed by Dutch law. Disputes will be submitted to the competent court in Rotterdam, the Netherlands.

Appendix: Data Processing Agreement

The following data processing agreement forms an integral part of these terms and applies to all processing of personal data by Adbrains B.V. in the context of the service delivery.

Article V1. Definitions

  • Data subject: the natural person to whom the personal data relates.
  • Cooperation agreement: the agreement under which Adbrains performs work on behalf of the client.
  • Personal data: any data relating to an identified or identifiable natural person that Adbrains processes under the cooperation agreement.

Article V2. Processing

Adbrains processes personal data on behalf of the client, exclusively for the purposes stated in the cooperation agreement. Processing takes place solely within the European Economic Area (EEA).

Adbrains shall not process personal data for its own or commercial purposes. The client remains the data controller at all times.

Article V3. Security

Adbrains takes all necessary technical and organisational measures to protect personal data, including strong password systems, encrypted data storage, secure network connections (HTTPS/TLS) and physical protection of IT facilities.

Article V4. Sub-processors

The client agrees that Adbrains may engage third-party sub-processors. Adbrains ensures sub-processors are bound by at least the same obligations as set out in this agreement.

Article V5. Data breach

Adbrains shall notify the client of any security incident involving personal data within 48 hours. The client is responsible for assessing whether notification to the Data Protection Authority is required.

Article V6. Confidentiality and deletion

All Adbrains employees are bound by confidentiality obligations. Personal data access is limited to what is strictly necessary. After termination of the cooperation agreement, all personal data will be deleted.
